Terms of Service
This Terms of Service (hereinafter referred to as the “Terms”) sets forth the terms and conditions of use for the services (hereinafter referred to as the “Service”) provided by Limited Liability Company Neumann (hereinafter referred to as the “Company”) on this website (hereinafter referred to as the “Sites”) and the rights and obligations between the Company and its Registered Users. In order to use this service, you must read and agree to these Terms in their entirety.
Article 1 (Application)
- 1 The purpose of the Terms is to set forth the terms and conditions of use of the Service and the relationship of rights and obligations between the Company and Registered Users regarding the use of the Service, and shall apply to all relationships between the Company and Registered Users regarding the use of the Service.
- 2 The regulations regarding the use of the Service posted on the Sites constitute a part of the Terms.
- 3 In the event of any inconsistency between the contents of this agreement and the provisions of the preceding paragraph, or in the event of any difference in explanation, the provisions of this agreement shall take precedence.
Article 2 (Registration)
- 1 Those who wish to use the Service may apply to the Company for registration to use the Service by agreeing to abide by these Terms and providing the Company with information separately specified by the Company in a manner specified by the Company, and registration will be completed when the Company approves the application.
- 2 The Company may not approve registration for use of the Service if it determines that the applicant has any of the following reasons, and is under no obligation to disclose the reasons.
- (1) When there is a falsehood, error, or omission in all or part of the registered information.
- (2) You are a minor, an adult ward, a person under curatorship, or a person under assistance, and you have not obtained the consent of a legal representative, guardian, curator, or person under assistance.
- (3) If you are a member of a crime syndicate, a member of a crime syndicate, a person who has been a member of a crime syndicate for less than five years, a quasi-constituent of a crime syndicate, a company related to a crime syndicate, a general meeting of shareholders, an advocate of social movements, a specially intelligent crime syndicate, or any other similar person.
- (4) If the User is a person who has violated these Terms or any other agreement entered into with the Company in the past, or is related to such a person.
- (5) If the User does not reside in Japan or does not use the Service in Japan.
- (6) In any other cases where the Company deems that registration is not appropriate.
- 3 If there is any change in the registered information, the Registered User shall notify the Company of the changed information without delay by the method prescribed by the Company.
- 4 When using external services provided in conjunction with this service, the Registered User shall agree to the Terms of said external services.
Article 3 (User ID and Password)
- 1 Registered Users shall manage their user IDs and passwords for the Service at their own risk, and shall not under any circumstances allow a third party to use, lend, or transfer them.
- 2 The Registered User shall be liable for any damage caused by insufficient management of the user ID and password, errors in use, or use by a third party.
- 3 In the event that a Registered User logs in with a combination of user ID and password that matches the registered information, the Company shall deem the use to have been made by the Registered User pertaining to said user ID.
Article 4 (Fees)
In consideration for the use of the Service, the Registered User shall pay the Company the usage fee separately determined by the Company and displayed on the Site, using the payment method designated by the Company.
Article 5 (Prohibited Matters)
Registered Users shall not engage in any of the following acts when using the Service.
- (1) Acts that violate laws and regulations, public order and morals, or these Terms.
- (2) Acts related to criminal acts or acts of unauthorized access
- (3) Actions that destroy, interfere with, or overload the functions of the server or network used by the Company.
- (4) Actions that may interfere with the provision or operation of the Company’s services.
- (5) Actions that may infringe on the Company’s intellectual property rights or other rights and interests.
- (6) Actions that impersonate a third party.
- (7) Actions that do not allow advertisements to be displayed on the service.
- (8) Other acts that the Company deems inappropriate.
Article 6 (Suspension of Provision of the Service, etc.)
- 1 The Company may suspend or interrupt the provision of all or part of the Service without prior notice to Registered Users if the Company deems that any of the following reasons apply.
- (1) In the event of maintenance, inspection, or updating of the system related to this service.
- (2) In the event that the provision or operation of the Service becomes difficult due to earthquakes, tsunamis, lightning strikes, infectious diseases, fires, power outages, natural disasters, or other force majeure.
- (3) When the computer or communication line is stopped due to an accident or incident.
- (4) In any other cases where the Company deems it difficult to provide or operate the Service.
- 2 The Company shall not be liable for any damages incurred by Registered Users or third parties due to the suspension or interruption of the provision of the Service.
Article 7 (Restrictions on Use, etc.)
- 1 In the event that the Company deems any of the following reasons to apply, the Company may, without prior notice, restrict the Registered User from using all or part of the Service, or cancel the registration as a Registered User.
- (1) In the event of violation of this Agreement.
- (2) In the event that the user falls under any of the items of Article 2, Paragraph 2 of this Agreement.
- (3) If you fall under any of the items in Article 5 of this Agreement.
- (4) In case of suspension of payment or inability to pay
- (5) In the event of provisional seizure, provisional disposition, compulsory execution, or tax delinquency disposition
- (6) When there is a petition for commencement of bankruptcy proceedings or civil rehabilitation proceedings
- (7) When there is no use of the Service for more than three months
- (8) If there is no response from the Company to inquiries or other communications requesting a response for more than 30 days.
- (9) In any other cases where the Company deems the use of the Service to be inappropriate.
- 2 In the case of the preceding paragraph, the Registered User shall naturally lose the benefit of time for all debts owed to the Company, and shall immediately make full payment to the Company.
- 3 The Company shall not be liable for any damages incurred by the Registered User or any third party as a result of any action taken by the Company in accordance with this Article.
Article 8 (Withdrawal of Membership)
- 1 A Registered User may withdraw from the Service by completing the procedures stipulated by the Company.
- 2 In the case of the preceding paragraph, if there are any debts owed to the Company, the Registered User shall naturally lose the benefit of time for all debts owed to the Company, and shall immediately make full payment to the Company.
- 3 The Company shall not be liable for any damages incurred by the Registered User or any third party as a result of any action taken by the Company in accordance with this Article.
Article 9 (Ownership of Rights)
- 1 The intellectual property rights and other rights and interests related to this site and the Service belong to the Company.
- 2 The rights pertaining to the information entered into the Service by the Registered User shall belong to the Registered User, and the Company shall grant permission for the use of such information without charge to the extent necessary for the operation or provision of the Service. Registered Users shall not exercise their moral rights in this regard.
- 3 Registered Users shall not enter any information that may infringe on the rights and interests of a third party when using this service.
Article 10 (Change of Service Contents, etc.)
- 1 The Company may, for its own reasons, change the contents of the Service or discontinue the provision of the Service without prior notice to the Registered User.
- 2 The Company shall not be liable for any damages incurred by the Registered User or any third party due to the actions taken by the Company in accordance with this Article.
Article 11 (Changes to the Terms)
The Company may change the Terms at any time without notice to the User. However, the Company shall take appropriate procedures when it should obtain consent from Registered Users in accordance with laws and regulations.
Article 12 (Compensation for Damages)
In the event that the Company causes damage to a Registered User, the Company shall compensate the Registered User up to a maximum of 10,000 yen, limited to normal damage (excluding lost profits) that occurred directly and in reality. However, the Company shall not be liable for intentional or material damages. However, this shall not apply in cases where the Company is found to have been intentionally or grossly negligent.
Article 13 (Notification)
- 1 The Company shall notify the Registered User in a manner separately determined by the Company.
- 2 Notification shall be deemed complete when sent to the email address and other contact information included in the registration information.
Article 14 (Prohibition of Transfer of Rights and Obligations)
The Registered User may not transfer, encumber, or have a third party assume the position, rights, or obligations under this Agreement without the prior written consent of the Company.
Article 15 (Severability)
Even if any part of these Terms and Conditions is determined to be invalid or unenforceable, the remainder of these Terms and Conditions shall remain in force and effect.
Article 16 (Governing Law and Jurisdiction)
- 1 These Terms shall be governed by and construed in accordance with the laws of Japan.
- 2 In the event of any dispute regarding the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
- 3 This Agreement is made in Japanese and translated into English for the convenience of English speakers residing in Japan. The Japanese version is the official text, and the English version is prepared for reference purposes. In the event of any conflict between these two versions, the Japanese version shall take precedence.
